Terms and Conditions

• •The Services are intended for business use; you must be authorized by your organization to use them
• •You are responsible for maintaining the confidentiality of login credentials and for all activity under your account
• •Notify us promptly at security@visionwaves.com of any suspected unauthorized access

The Services provide enterprise AI orchestration and data intelligence functionality, including workflow automation, data processing, and AI/ML-assisted features through x101 orchestration. Features, availability, and specifications may change over time; where a specific service level applies, it is set out in the applicable Order Form or Service Level Agreement, not these Terms.

• •The Services include features that generate, summarize, or recommend content using AI/ML models ("AI Outputs"). AI Outputs may be incomplete, inaccurate, or unsuitable for your intended use.
• •You are responsible for independently reviewing and validating AI Outputs before relying on them for any business, legal, financial, medical, or safety-related decision
• •AI Outputs are not professional advice, and VisionWaves does not warrant their accuracy, completeness, or fitness for a particular purpose
• •You will maintain appropriate human oversight for any consequential decision informed by AI Outputs, and will not represent AI Outputs as VisionWaves' independent judgment or endorsement
• •VisionWaves may use third-party AI model providers to deliver certain features, as described in the Privacy Policy and Data Processing Agreement

You agree not to:

• •Use the Services to violate applicable law, infringe intellectual property, or violate the rights of others
• •Attempt to gain unauthorized access to the Services, other accounts, or underlying infrastructure
• •Reverse engineer, decompile, or attempt to extract source code except as permitted by law
• •Use the Services to build a competing product, or to train a competing AI model on VisionWaves' non-public materials
• •Introduce malware, conduct penetration testing without authorization, or disrupt the Services
• •Upload data you do not have the right to submit, including data subject to legal holds or restrictions you have not disclosed to us

You retain all rights to the data you submit to the Services ("Customer Data"). You grant VisionWaves a limited right to process Customer Data solely to provide, secure, and support the Services. Processing of personal data is further governed by the VisionWaves Privacy Policy and, for enterprise customers, the Data Processing Agreement.

VisionWaves and its licensors retain all right, title, and interest in the Services, including NetSingularity, Opstral, Entroid, DataByte, and x101, and all related software, documentation, and trademarks

Subject to your compliance with these Terms, VisionWaves grants you a limited, non-exclusive, non-transferable right to access and use the Services for your internal business purposes

Feedback you provide about the Services may be used by VisionWaves without restriction or compensation to improve the Services

Fees, billing frequency, and payment terms are set out in the applicable Order Form. Unless otherwise agreed, fees are non-refundable, and late payments may accrue interest at the maximum rate permitted by law and may result in suspension of the Services after notice.

Each party may receive non-public information from the other ("Confidential Information"). Each party agrees to protect the other's Confidential Information with the same degree of care it uses for its own, and not less than reasonable care, and to use it only to perform under these Terms. This does not apply to information that is public, independently developed, or required to be disclosed by law.

VisionWaves will provide the Services in a professional manner consistent with general industry standards. EXCEPT AS EXPRESSLY STATED, THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR REVENUE, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES. EACH PARTY'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE FEES PAID OR PAYABLE BY YOU TO VISIONWAVES IN THE 12 MONTHS PRECEDING THE CLAIM. These limitations do not apply to breach of confidentiality obligations, indemnification obligations, or a party's gross negligence or willful misconduct, to the extent such limitation is not permitted by law.

You will defend and indemnify VisionWaves against third-party claims arising from your breach of these Terms, misuse of the Services, or Customer Data you submit. VisionWaves will defend and indemnify you against third-party claims that the Services, as provided by VisionWaves and used in accordance with these Terms, infringe a third party's intellectual property rights, subject to prompt notice and cooperation.

• •These Terms remain in effect while you use the Services, or for the term specified in the applicable Order Form
• •VisionWaves may suspend access for material breach, security risk, or non-payment, with notice where practicable
• •Either party may terminate for the other's uncured material breach on 30 days' written notice
• •On termination, your right to use the Services ends; data return/deletion is handled per the Data Processing Agreement

VisionWaves may update these Terms from time to time. Material changes will be posted with an updated effective date and, where required by an existing agreement, communicated directly to enterprise customers. Continued use of the Services after changes take effect constitutes acceptance.

These Terms are governed by the laws of Singapore, without regard to conflict-of-law principles. Disputes arising out of these Terms will be resolved in the courts of Singapore.

• •These Terms, together with any Order Form, DPA, and Privacy Policy, are the entire agreement between the parties on this subject
• •If any provision is found unenforceable, the remaining provisions remain in effect
• •Neither party may assign these Terms without the other's consent, except in connection with a merger, acquisition, or sale of substantially all assets
• •Failure to enforce a provision is not a waiver of the right to do so later
